Terms of Service

These Terms of Service ("Terms") govern your use of the services provided by Ascenta Studio ("Ascenta", "we", "us"), a brand operated by La Factoria LLC, a Delaware limited liability company with its registered address at 8 The Green, Ste B, Dover, DE 19901, USA. By engaging our services or using this website, you agree to these Terms.

1. Services

Ascenta designs, builds, hosts and maintains websites for local businesses. Our standard engagement is a website-as-a-service subscription: a one-time setup fee, plus a flat monthly fee that covers hosting, maintenance, security updates and reasonable content edits.

2. Free concept

Where offered, the free homepage concept carries no obligation. If you choose not to proceed, you owe nothing and we retain all rights to the concept. The concept becomes part of your website only after your first payment.

3. Fees and billing

• The setup fee is due before the full build begins.
• The monthly fee is billed in advance, month to month. There are no long-term contracts.
• You may cancel at any time with notice before your next billing date. Fees already paid are non-refundable.
• Prices quoted before work begins are honored for that engagement; published prices may change for future engagements.

4. Ownership and buyout

Your content — your business name, logo, text, photos and any material you provide — remains yours. While the subscription is active, the website design, code and hosting configuration remain the property of Ascenta and are licensed to you. A fixed one-time buyout is available at any time; upon payment, the website design and code for your site transfer to you.

5. Your responsibilities

• You confirm that the content you provide is accurate and that you have the right to use it.
• You will not use the website for unlawful purposes or content.
• Domain names registered on your behalf are registered in your name or transferred to you upon request.

6. Cancellation and effect

If the subscription ends without a buyout, we will keep the site live until the end of the paid period, then take it offline. On request we will provide your content and point your domain wherever you choose.

7. Warranties and liability

We build to a high professional standard, but services are provided "as is" and we do not guarantee specific business results, search rankings or uninterrupted availability. To the maximum extent permitted by law, our total liability for any claim is limited to the fees you paid us in the three months preceding the claim. We are not liable for indirect or consequential damages.

8. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email or on this page. Continued use of the services after a change constitutes acceptance.

9. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules.
